Job Description

Cana Consulting is partnering with a fast-growing regional infrastructure and technology platform to appoint a Corporate Legal Counsel to support strategic corporate initiatives across Asia Pacific. This is an exciting opportunity for a commercially minded lawyer to work closely with senior stakeholders on high-value transactions, regional expansion projects, and complex cross-border matters in a dynamic environment. Responsibilities • Provide legal support on a broad range of corporate and commercial matters across the business. • Lead and support mergers & acquisitions, joint ventures, strategic investments, corporate restructurings, and expansion initiatives. • Draft, review, and negotiate transaction documents including share purchase agreements, shareholders’ agreements, subscription agreements, and ancillary corporate documentation. • Support financing and investment-related transactions, including coordination with external counsel, lenders, and internal stakeholders. • Advise on legal risks, governance matters, and regulatory considerations relating to regional operations and transactions. • Work closely with business, finance, tax, and operational teams to facilitate execution of strategic projects. • Manage external legal counsel across multiple jurisdictions and ensure timely, commercially practical legal support. • Assist with the development and enhancement of internal legal processes, templates, and governance frameworks. Requirements • Qualified lawyer with approximately 7-10 years of post-qualification experience. • Prior experience gained from a reputable law firm and/or in-house legal team with strong exposure to corporate/M&A transactions. • Experience handling cross-border transactions and regional stakeholder management is advantageous. • Exposure to infrastructure, technology, real estate, data centre, energy, or private capital related transactions would be viewed favourably. • Commercially minded, proactive, and able to operate effectively within a fast-paced environment. • Strong drafting, negotiation, and stakeholder management skills.
