About the Role
We are looking for a mid-level in-house Legal Counsel to support our fast-growing regional business across multiple markets, including Hong Kong, Singapore, Japan, and Australia. This role sits at the heart of the business and works closely with commercial, operations, compliance, and people teams to enable growth while managing legal risk. This role will lead legal support across KPay’s product suite and will serve as a key advisor on complex commercial arrangements and cross-border initiatives. You will also coordinate external counsel on specialised matters across jurisdictions, supporting timely and cost-effective outcomes.
The ideal candidate is commercially minded, hands-on, and comfortable operating in a fast-paced environment, with exposure to both BAU legal support and more complex cross-border matters. You are pragmatic and solution-oriented, take ownership, and can manage multiple priorities across regions while engaging confidently with senior stakeholders.
Key Responsibilities
Product & Commercial Legal (Primary Focus)
• Provide pragmatic, risk-weighted legal advice across the product lifecycle for new and existing products, including structuring, launch readiness, and ongoing enhancements.
• Draft, review, and maintain product-facing legal documentation (e.g., terms, customer/merchant agreements, product addenda, and partner onboarding terms) and ensure documentation remains fit-for-purpose as products evolve.
• Advise on product distribution and ecosystem partnerships, including technology, processing, platform, and channel partner arrangements, with clear allocation of liability, service levels, data/security obligations, and exit/transition provisions.
• Support go-to-market initiatives and strategic commercial negotiations, providing solutions-oriented guidance that enables growth while protecting KPay’s interests.
Cross-Border Support & Stakeholder Enablement
• Provide regional support across HK/SG/JP/AU, adapting legal positions to local requirements while maintaining consistent group standards and contracting principles.
• Develop and improve templates, playbooks, and negotiation guidance to increase contracting consistency and execution speed (without compromising risk outcomes).
• Support cross-border initiatives and transactions (including strategic partnerships and M&A-style workstreams where relevant), coordinating diligence inputs and legal workstreams to drive sign-off readiness.
• Work with internal stakeholders to support adherence to applicable laws, policies, and regulatory expectations.
• Assist with regulatory reviews, audits, and compliance-related queries, in coordination with Compliance.
Regulatory & Compliance Support
• Support Compliance on regulatory-driven product issues, partner diligence, audit/regulatory information requests, and remediation initiatives where needed (regulatory law experience is a plus).
• Coordinate external counsel on specialised matters (e.g., regulatory, jurisdiction-specific, or complex issues), including scoping, instructions, timeline management, and cost control.
Litigation Support
• Provide oversight and escalation support for disputes and litigation matters, including reviewing strategy/key documents and coordinating external counsel as needed.
• Partner with the Junior Legal Counsel (who owns day-to-day dispute management) to ensure appropriate reporting, risk visibility, and consistent positions.
Requirements
• 4–6 years of post-qualification experience, ideally with a mix of law firm and/or in-house experience
• Excellent drafting and negotiation skills with experience leading complex commercial agreements; M&A and/or strategic transactions experience is an advantage.
• Experience in fintech, payments, technology, or regulated products is highly desirable; regulatory advisory exposure is a plus.
• Strong commercial judgment and ability to communicate practical advice to business stakeholders in a fast-paced environment.
• Exposure to multi-jurisdictional or regional work is strongly preferred
• Familiarity with regulatory or compliance matters is a plus
• Comfortable managing external counsel across jurisdictions and supporting cross-border initiatives/transactions (including strategic partnerships and M&A-style work streams where relevant).
