About the Role:
We are seeking a proactive and commercially-minded Junior In-House Legal Counsel to join our dynamic legal team. You will provide legal support across multiple markets, including Hong Kong, Singapore, Japan, and Australia, ensuring our business operations, partnerships, products, and market expansions efforts are legally sound. This role is the team’s primary owner for litigation/dispute management, and supports BAU contracting and operational legal matters across the region, with a primary focus on Hong Kong. This role also supports company secretarial and governance workflows (e.g., resolutions, filings coordination, and corporate records maintenance). This role reports directly to the Head of Legal. This is an exciting opportunity to work closely with cross-functional teams and support the company’s growth in key regional markets.
Key Responsibilities:
Litigation & Dispute Management (Primary Responsibility)
• Act as the internal point-of-contact for disputes and litigation matters across HK / SG / JP / AU, including merchant disputes, customer complaints, chargeback/settlement issues, contractual claims, demand letters, and escalation management.
• Own the end-to-end dispute workflow: triage, risk assessment, evidence preservation (including legal holds), internal fact-finding, and coordinating responses with Product, Ops, Finance, Risk/Compliance, and Customer Service.
• Manage merchant-related claims (including claims brought against merchants and claims brought by merchants), including coordinating counterparty communications and settlement discussions within approved parameters.
• Coordinate and work closely with external counsel and litigators: prepare instructions, manage timelines, review filings, monitor strategy, and track budgets/fee arrangements.
• Maintain a disputes register and reporting cadence (status, exposure, themes, and remediation actions), and support dispute resolution strategies (including settlement documentation where required).
Commercial & BAU Legal Support (Hong Kong primary; regional support)
• Support day-to-day BAU contracting and legal queries for core business functions (merchant onboarding, revenue operations/sales, marketing, customer service, vendor procurement), primarily in Hong Kong. This includes supporting day-to-day legal queries and contracting needs across commercial, operations, product enablement, vendor management, and people matters.
• Draft, review, and negotiate contracts and commercial agreements across multiple jurisdictions (primarily standard-form and BAU; escalate complex/strategic negotiations).
• Identify legal risks and proactively provide practical business solutions within delegated authority, escalating material issues.
• Provide regional BAU support (SG/JP/AU) across People & Culture, Sales/Revenue Ops, vendor procurement and operational contracting, and assist with compliance coordination.
• Support compliance coordination across markets (trackers, audit/regulator information requests, evidence packs/first-pass responses).
Corporate Secretarial & Governance Support
• Provide day-to-day support on company secretarial matters across relevant group entities (as applicable), including preparing board/shareholder resolutions and corporate governance documentation.
• Coordinate statutory filings and ongoing entity maintenance with external corporate secretarial providers (and internal Finance), including director/officer changes, registered office updates, and periodic compliance requirements.
• Maintain corporate records and ensure governance documents are audit-ready.
• Support corporate housekeeping for new market/entity setups and expansion projects (document checklists, template packs, coordination with stakeholders).
• Support contract governance, including maintaining standard templates/playbooks and contracting hygiene (e.g., repository/filing discipline) as needed.
Requirements:
• 1-3 years of post-qualification experience in a common law jurisdiction (e.g., Singapore, Hong Kong, Malaysia), preferably in a commercial or in-house environment.
• Litigation / dispute management experience is preferred (or demonstrable exposure to disputes and external counsel management), but we are open to strong corporate/commercial lawyers comfortable taking on disputes responsibilities.
