Job Description

Role Overview

  • The Group CFO will be a core value-creation partner to the CEO and Board, with a clear mandate to lead fundraising, capital structuring, and investment decisions.
  • You will drive funding processes, design capital structures, and use finance as a strategic tool to create enterprise value. Governance and compliance are required
  • led fundraising rounds (equity, debt, convertibles, structured financing)
  • Negotiated term sheets and funding instruments with investors and banks
  • Built and defended valuation and fiancial models with Boards and investors
  • Designed or restructured capital stacks to support growth and manage dilution
  • Acted as a decision-maker in capital allocation, investments, or M&A

Fundraising & Capital Strategy

  • Lead and execute equity and debt fundraising across growth stages
  • Structure and negotiate capital instruments (equity, convertible notes, coupon-based debt, hybrid structures)
  • Optimise the group capital structure to balance growth, risk, control, and cost of capital
  • Own investor relationships, funding narratives, and financial storytelling
  • Advise the CEO and Board on capital timing, sizing, and structure
  • Drive capital allocation decisions across business units and initiatives
  • Evaluate and execute investments, M&A, partnerships, and divestments
  • Translate business strategy into financial strategy, forecasts, and valuation models
  • Use financial insight to actively shape strategic and operating decisions

Equity & Incentives

  • Design and implement employee stock option plans (ESOPs) and long-term incentive structures
  • Align leadership incentives with long-term value creation
  • Advise the Board on equity, dilution, and incentive trade-offs

Governance & Oversight

  • Ensure robust financial governance, controls, and regulatory compliance
  • Oversee reporting, consolidation, treasury, tax, and audit through a strong finance team
  • Maintain credibility with investors, banks, auditors, and regulators
  • Anticipate disclosure and compliance requirements

Ideal Background

  • CFO or finance leadership experience with direct fundraising execution
  • Proven track record in capital structuring and investment decision-making
  • Strong understanding of equity, debt, convertibles, and structured financing
  • Comfortable operating as a CEO and Board-level advisor
  • Experience in multi-entity or group environments
  • Listed or regulated environment experience is helpful, but value creation matters more than tenure
